McClellan, endell C. eville, Frank B. Noyes, John Barton Payne, Augusta Reath, Alice Hay Wadsworth, John Walsh, and their associates and successors, are hereby created a body corporate by the name of “Belleau Wood Memorial Association? P Sec. 2. That the purposes of this corporation shall be: (a) To uma" acquire and maintain the whole or any portion of Belleau Wood, Department of Aisne, France, for memorial purposes; (b) to erect such buildings and monuments and establish such institutions thereon as it may deem appropriate as a memorial to the men of the American Expeditionary orces who partici ated in the battle of Belleau Wood, France, and vicinity during tliie World War; (c) to solicit and obtain members; (d) to charge and collect membership dues, and to solicit and receive contributions of money to be devoted to carrying out such purposes; and (e) to care for and maintain such memorial. Sec. 3. That the corporation (a) shall have perpetual succession; °°“’°"‘°°I’°”'°”‘ (b) ma sue and be sued; (c) may adopt a corporate seal and alter it at lyizasureg (d) may adopt and alter by·laws not inconsistent with tlie Constitution and laws of the United States or of any State; (e) ma establish and maintain offices for the conduct of 1liS business; (% may appoint officers and agents; (g) may choose a board of trustees consisti? of not more than fifteen persons nor less than five persons, to con act the business and exercise the powers of the corporation; (h) maly acquire, by purchase, devise, bequest, gift, or otherwise, and ho d, encumber, convey, or otherwise dispose of, such real and personal propert as may be necessary or appropriate for its corporate purposes, andy especially the whole or any portion of Belleau Wood, Department of Aisne, France, to the extent that it may be or become conmstent with or permitted by, the laws of the French Republic; and (i) generally may do any and all lawful acts necessary or appropriate to carry out the purposes for which the corporation is created. 0, Sm. 4. That the Belleau Wood Memorial Association, a corpora- .,rPE'I,'{§§.Y{,;, £'“"°‘ tion heretofore incorporated under the laws of the District of *~*°°'·’°¤*'°*'°d·$iw Columbia, is authorized to transfer to the corporation created by this Act all of its property, rights, and assets, and such corporation is authorized to receive all of such property, rivhts, and assets. U pon such transfer, such association shall thereby dissolved, and such corporation shall be liable for all the obligations of, and claims against, such association, and all of such obligations and claims ma be enforced against the corporation. mm, r on tu Sec. 5. That the corporation shall, on or before the lst day of ceases. °p December in each year, transmit to Congress a report of its proceedings and activities for the preceding calendar year, inclu ing the full and complete statement of its receipts and expenditures.
