That any corporation organized under the laws of the chgilgicoiifiliiis mr District of Columbia may change its name in the manner followin : M , "The board of directors shall pass a resolution declaring that surgi heirgglgs °I st°°k` change is advisable and calling a meeting of the stockholders to take action thereon. Such a meeting shall be called upon such notice as the by-laws provide, and in the absence of such provision upon ten days’ notice given personally to each stockholder as his address is contained in the records of such corporation, a notice deposited in the United States mail, posta e prepaid, at least ten days prior to Umm t I fa such meeting to be consrderecl sufficient notice under this Act. If able mi$`¤°ai’be iiigi two-thirds in interest of each class of stockholders having voting "m"°°°‘d°‘°‘“°°d* powers and of other persons having like powers shall vote in favor of such a change, a certificate thereo shall be signed by the president and secretary, under the corporate seal, and acknowledged as in the case of deeds of real estate, and such certificate shall be filed in the office of the recorder of deeds of the District of Columbia, and upon the filing of the same the certificate of incorporation shall be deemed mm Im to be amended and the name cha ed accordigrilgly; and the filing of ° mg` said certificate in conformity withniiliis Act sh have the same force and effect as to all future proceedings as if said certificate of incorporation or o anization had been originally drafted in conformity with the amerigment so made. " That a certified copy of such certificate shall be taken and accepted m$§Q°,l°,,°§§§K gfx as evidence in all courts and places of all matters legal] stated therein; d°¤°°· and the recorder of deeds shall keep an index in his oéce sho the new name and the change from the old name, and the old name sliowing the change to the new name; and no fees shall be required by the recorder of deeds for and recording any such certificate, excerpt that ordinarily required for deeds of real estate of like len th. Ri h " hat a corporation under its new name shall have the same rights, ami. ts" °t°" mu powers, and rivileges, and shall be subject to the same duties, obli— gations, and liabilities as before, and may sue and be sued by its new name, but no action brought against it or by it under its former name shall be abated on that account, and on motion of either party the new name may be substituted therefor in the action.
