C11. 146. 1902. 61 the persons named in the iirst section of this Act, representing the several bodies of the Order of the Eastern Star, and their successors, selected in the manner hereinafter declared by the Eastern Star bodies they represent, who shall hold their office for one year and until T°¤¤ °f°m<‘€- others are duly elected and qualified to take their laces as directors; and the said directors shall elect one of their number to be president of the board, who shall also be president of the corporation, and shall elect a secretary from among their numbe1·, who shall also be secretary of the corporation, and they shall also choose a treasurer from B"“" °*"°**°““°’- their number, who shall give bond, with surety, to said co ration, in such sum as said directors may require, for the faithfulldihcharge of his or her duties. A majority of the directors shall constitute a Q“°““”· quorum for the transaction of business. In case of a vacancy in the board of directors by death, resignation, or otherwise of any director, the vacancy occasioned thereby shall be iilled by the Eastern Star body represented by said directo1·. Sec. 5. That the directors shall have full power to make and pre- G°“*"“l¥’°""”· scribe such by-laws, rules, and regulations as they shall deem proper for the disposition and management of the property, estate, eifects, and affairs of the said corporation not contrary to the charter or to the laws of the United States or to the laws and regulations of said Grand Chapter, and shall have power to alter or amend the same as the interests of the corporation in their opinion may require. S20. 6. That the Grand Chapter of the Order of the Eastern Star A““““l°’°°“°“· of the District of Columbia shall be entitled, at its first annual election after the nting of this charter, and annually thereafter, to select by ballot of its members as successors to the three persons then or last representing it as members of this corporation whose annual term expires next thereafter or which may have expired next before that time; that each of the constituent chapters named in the first sec tion of this Act shall be entitled, at its annual session, and annually thereafter, to select by ballot one of its members as a successor to the person then or last representing it as a member of this corporation whose annual term expires next thereafter or which may have expired next before that time, so that said corporation shall forever consist of three directors from the Grand Chapter of the Order of the Eastern Star of the District of Columbia and one director from each of the _ constituent chapters under said Grand Chapter: Provided, lemwver, §§Q‘{,‘{{’,;,,. 0, cm, That should any of the said several Eastern Star bodies named in the M- first section of this Act surrender or forfeit its Eastern Star charter or warrant or from any cause cease to be recognized by the Grand Chapter of the Order o the Eastern Star of the istrict of Columbia, it shall not thereafter be entitled to any representation in said corporation, nor shall the continued corporate existence and rights of said corporation be in any wise affected thereby so long as there are tive corporators qualitied to act as such. _ Sec. 7. That any constituent chapter hereafter instituted by said ,,§“““‘“°'“ °"“** Grand Chapter shall be entitled at its next annual election to elect one of its members as a member of the board of directors of said corporation, and shall be admitted to a representation in said corporation upon an equal footing under the same rules and regulations as the several constituent chapters named in the first section of this Act.
